Customer: The entity who purchases the DevsBot offered by the service provider according to the Subscription period of time.
Data Encryption: All data transmitted through or stored within our SAAS software will be encrypted using industry-standard encryption technology to protect the confidentiality and integrity of the data.
Derivative Works: Any rights such as Copyrights, Trademarks or any other rights are legally owned for the Service.
Intellectual Property Rights: Developing the same or similar ideas from our Service without our consent is Prohibited.

Limited Liability: The Provider’s responsibilities to the Service is legally limited.

Minimal defects: Refer to minor issues or malfunctions in the Service that do not significantly affect its functionality or performance. These defects may not impact the Service’s overall usability, but they still require attention and may be corrected in future updates or releases.
Mediate defects: Refer to issues or malfunctions that have a moderate impact on the Service’s functionality or performance. These defects may cause some inconvenience to users, and they need to be addressed and resolved in a timely manner to ensure the Service’s proper operation.
Extensive defects: Refer to critical issues or malfunctions that significantly affect the Service’s functionality or performance. These defects may render the Service unusable, and they require immediate attention and resolution to avoid any further damage or negative impact on users.
Service Provider: Supplying available service to the customer on the purchase of the Product.
Third Parties: a person who is not a party to a contract or a transaction.
Termination: A termination formally stating that all parties in these terms and conditions agree to the cancellation or duly terminate on breach of these terms and conditions.

3. Acceptance of Terms

Thank you for selecting the Services offered by Niraltek Solutions Pvt Ltd (hereinafter referred to as “Provider”) and/or its subsidiaries and affiliates (referred to as “we”, “our” or “us”). Review these Terms of Services thoroughly. By accepting electronically (for example, by clicking “I Agree”) accessing, or using the Services, Customers ( referred to as “you”, or “your”) agree to these terms. If Customer does not agree to these terms, then Customer may not use the Services.
4. Effect of Termination

We may terminate service, any Additional Services, suspend/terminate your Account or your access to any Service if you breach or are likely to breach the terms and conditions. We may add or remove, suspend, stop, delete, discontinue, or impose conditions on Services or any feature or aspect of as Service. We will take reasonable steps to notify you of termination by email or the next time you attempt to access your Account. On termination of the Account, we will not be liable to you or any third party for compensation, reimbursement or damages of the Service or deletion of your information or account data.
5. Subscription

To use the DevsBot IoT Product Management service, customers must subscribe and pay for the service for a specified period. The subscription fees may vary based on the subscription period and the features included in the subscription. The service provider reserves the right to change the subscription fees with prior notice to the customers. The subscription period will automatically renew at the end of the subscription period unless the customer cancels the subscription. The service provider also has the right to cancel or suspend the subscription without prior notice if the customer breaches any of the terms and conditions. Customers are responsible for keeping their payment information up to date and ensuring that their subscription is renewed on time. The service provider does not provide refunds for the unused portion of a subscription. Customers must also comply with any applicable laws and regulations related to their use of the DevsBot IoT Product Management service.
6. Licence Grant
- Provider hereby grants you a non-exclusive, non-transferable licence to access and use our Service.
- The Customer may not sub-license or transfer its licence to any third party until agreed mutually by Parties.
- Customer may not modify or create derivative works based on the Service.
7. Intellectual Property

The Service provided to the Customer is owned, licensed, and protected by Indian Laws regarding copyrights, trademarks, and other intellectual property or proprietary rights. Customers are permitted to use the Service only for legitimate business purposes related to your role as prospective customers, partners, distributors of Provider. Customer shall not copy, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any Content of the service which you intend to purchase without the prior written consent of the Provider.
8. Warranties Exclusive

The warranties provided for the Services are exclusive and are not extended to any third parties. These warranties are contingent upon the proper usage of the product by the customer. The provider warrants that the service will function substantially in accordance with its documentation for a Subscription period from the date of purchase. This warranty is the exclusive remedy for any defects in the Service, and the provider disclaims all other warranties, whether express or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose. In no event shall the provider be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Service, even if advised of the possibility of such damages.
Provider shall fix only by assessing the nature of the defect categorically such as:
Minimal: within 8 hours (from the date of issue report)
Mediate: within 24 hours (from the date of issue report)
Extensive: within 48 hours (from the date of issue report)
9. Confidentiality
- Customer shall maintain the confidentiality of the Service and any information related to the Service such as data encryption.
- Provider shall maintain the confidentiality of any Customer data.
- Provider shall use Customer data for the purpose of providing the Service.
10. Payment Terms
- The Customer agrees to pay the provider the fees for the Subscription term, either on a monthly/annual basis or one-time purchase depending on the terms of the agreement.
- The subscription fees for the service are not refundable under any circumstances.
- Provider shall suspend or terminate the Services if Customer fails to pay any fees when due.
- Customer can renew the Subscription at any time for the Service.
11. Limitation of Liability
- In no event shall Provider( Niraltek Solutions Pvt Ltd) be liable for any direct or indirect, special or consequential damages, or damages for loss of profits, revenue, data or data use, incurred by Customer or any third party, whether in an action in contract or tort, arising from your access to, or use of, the site or any content provided on or through the site.
- Provider’s liability is limited to the amount paid by the Customer for the Service.
12. Governing Law
- These terms and conditions for the Service are governed by and construed in accordance with the laws of the State in which the Provider is located
- Any legal action arising out of or in connection with this Service or terms and conditions shall be brought in the courts of the state in which the Provider is located.
13. Proprietary Rights
- All the rights, titles and interest of the Service is owned by the provider
- Customers shall not remove, alter or obscure any proprietary notices including the Service.
